Terms of service
Written in plain English, so you know exactly where you stand.
1. Who we are
Websites by Design to Scale is a trading name of Design to Scale Ltd, registered in Northern Ireland. Design to Scale Ltd is a private limited company, company number NI669361. Our registered office is 27 Silverstream Crescent, Bangor, Northern Ireland, BT20 3NF. You can contact us at hello@designtoscale.co.uk.
In these terms, "we" and "us" means Design to Scale Ltd, and "you" means the business buying a website plan. Our plans are for businesses, not consumers.
2. What you get
You get the website plan you choose, as described on our pricing page and in your quote. If your quote and this page ever disagree, your quote wins. All prices exclude VAT, which is added at the standard rate.
3. Who owns what
All our plans work like a lease, whether you pay monthly or upfront. Paying upfront is the same lease, paid a year in advance at a lower price. The design, code and hosting remain the property of Design to Scale Ltd and are provided to you as part of your plan. Your content, meaning your text, images, logos and anything else you supply, stays yours. You give us permission to use your content on your website for as long as we provide it.
Your domain name stays registered to you. If we register it on your behalf, we'll transfer it to you whenever you ask.
4. Minimum term and cancelling
Every plan has a 12-month minimum term, starting on the day your site goes live. On a monthly plan you pay for it month by month, and after the minimum term it continues month to month. On an upfront plan you pay for the first 12 months in advance, and from year 2 it renews yearly.
On a monthly plan, once the minimum term is over, you can cancel at any time before the 1st of the month, when your next automatic payment is due. You can cancel in your client portal or by emailing us. No further payments are taken, your site stays live until the end of the last month you've paid for, and then it's switched off.
On an upfront plan, from year 2 you choose Full care or Hosting only, billed yearly. To stop, cancel before your renewal date. Your site stays live until the end of the year you have paid for, and then it is switched off.
5. Cancelling early
If you cancel a monthly plan before the end of the 12-month minimum term, the remaining balance of the minimum term is due.
On an upfront plan, your first year is paid in advance, so there is nothing more to pay, but it is not refunded if you leave early.
6. Buying your website outright
After the minimum term, on a monthly or upfront plan, you can buy your website outright for £499 (+VAT). We'll give you the full set of files (HTML, CSS, scripts and assets), and ownership of your site's design and code passes to you, so you can host it and change it however you like. We keep the right to reuse general techniques and code that aren't specific to your design.
7. Leaving without buying out
Whichever way you pay, if you leave without buying out, we'll give you the HTML of your pages (without the CSS styling) and your assets folder, which contains your images and files.
8. Edits
Where your plan includes edits, an edit is a change to existing text or images within the sections we've already built. New pages (£99) and new sections (£49) are one-off extras, and layout changes and new features are quoted. Please send one request at a time, and supply the text and images you'd like to use.
9. Support
Message us any time, and we'll reply within 24 hours. We'll always tell you when to expect a change to be finished.
10. Paying us
Your first invoice covers your first month (or your upfront fee) plus any one-off extras you've ordered, such as extra pages, extra sections or a blog. It's split into two halves: we start work once the first 50% is paid, and the remaining 50% is due before your site goes live.
Your first month covers the rest of the month you launch in plus the whole of the following month. After that, your card is charged automatically through Stripe on the 1st of each month, and each payment covers that month.
For example, if your site goes live on 15 September, your first payment covers you until 1 November. Your card is then charged for November on 1 November, and on the 1st of every month after that.
Payments are taken through Stripe by card or another method Stripe offers. Yearly plans are charged automatically on each renewal date in the same way.
11. Missed payments
If an automatic payment fails, Stripe will retry it and email you reminders, and we'll be told. If a payment is still unpaid 30 days after it was due, we'll switch your site off until it's paid. Switching your site off doesn't end your plan or your minimum term, and anything you owe is still due.
12. Payments, bookings and other third parties
Payments, bookings and some other add-ons rely on third-party services, such as Stripe, a booking tool or Google Workspace, which have their own terms and fees. You hold your own account with each provider, and payments go directly to your account. We never hold your funds or your customers' funds.
We're not responsible for outages, fee changes or changes to how those services work. If a provider changes something that affects your site, we'll tell you what's needed and quote for any work before we start.
13. Your responsibilities
You confirm that you have the right to use the content you give us, and that it is accurate and lawful, including any claims about your services, prices and qualifications. You're responsible for how you use your site and for any information you collect through it.
14. Our responsibilities and liability
We'll provide our services with reasonable skill and care. We keep backups and aim to keep your site online at all times, but we can't promise it will never be unavailable, for example during maintenance or a hosting provider outage.
We're not liable for indirect or consequential losses, or for loss of profit, revenue, business or data. Our total liability to you in any 12-month period is limited to the amount you've paid us in that period. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law.
15. Changes to these terms
We may update these terms from time to time. If a change affects your plan, we'll email you at least 30 days before it takes effect.
16. Law
These terms are governed by the law of Northern Ireland, and the courts of Northern Ireland have jurisdiction over any dispute.
